Draft notice. These terms are in draft for legal review. They reflect how PowerGrant operates today. Final wording is pending counsel review.
The agreement
When you create an account or use PowerGrant, you agree to these terms. PowerGrant is a service of [ENTITY NAME, TBD pending Atlas C-corp filing], a Delaware corporation. "We" and "us" mean that entity; "you" means you, and the organization you signed up for.
What PowerGrant does
PowerGrant is software that helps nonprofit grant writers draft, analyze, and manage grant proposals. We provide hosted software; you provide the content (your knowledge base, your drafts, your grants). Output quality depends on the quality of your inputs.
Your account
You're responsible for keeping your login credentials secure. If you invite team members, you're responsible for what they do with your account. Tell us if you suspect unauthorized access.
You must be at least 18 and legally able to enter contracts. The person creating an organization account represents that they have authority to bind that organization to these terms.
Pricing + billing
PowerGrant costs $149 per month or $1,490 per year. We offer a 14-day free trial that does not require a credit card. After the trial, you choose a plan and provide payment, or your account becomes read-only.
Subscriptions renew automatically until you cancel. You can cancel anytime from your account settings; your access continues to the end of the current billing period. We don't prorate refunds for mid-period cancellations, but see the money-back guarantee below.
We may change prices on renewal with at least 30 days' notice. Existing subscribers keep their current price for the duration of their current term.
Money-back guarantee
If PowerGrant doesn't fit your workflow within the first 30 days of a paid subscription, email hello@powergrant.ai and we'll refund the most recent payment in full. One refund per customer.
Your content
You own everything you put into PowerGrant: your knowledge base, your drafts, your edits, your grants. We hold your content on your behalf so the software can work. We don't claim any ownership in your content beyond the limited license needed to operate the service for you (storing it, processing it, displaying it back, sending excerpts to AI providers configured to not train on it).
You are responsible for the content you upload. Don't upload anything you don't have the right to upload. Don't upload illegal content, malware, or content that violates someone else's privacy.
AI-generated content
PowerGrant produces drafts using AI. The drafts are starting points, not final submissions. You are responsible for reviewing, editing, and verifying everything before submitting it to a funder. We design the product to ground outputs in your verified knowledge base, but AI systems can still produce errors; the responsibility for what you submit rests with you.
Acceptable use
Don't use PowerGrant to deceive funders, fabricate outcomes, or submit fraudulent applications. Don't try to break, probe, or reverse-engineer the service. Don't use it to spam, harass, or harm anyone. Don't resell access. We may suspend accounts that violate these rules.
Service availability
We aim for high availability but don't guarantee uninterrupted service. We may take the service down for maintenance with notice when practical. We don't offer a formal SLA at this stage.
Cancellation + termination
You can cancel anytime. We can terminate accounts that violate these terms or that we reasonably believe are being used for fraud or abuse, with notice when practical.
On cancellation we keep your data for 30 days, then delete it on request. You can export your data at any time before deletion.
Disclaimers
PowerGrant is provided "as is." We don't promise the service will be free of bugs or that AI outputs will always be correct. We disclaim implied warranties to the maximum extent allowed by law.
Limit of liability
To the extent allowed by law, our total liability under these terms is limited to the amount you paid us in the 12 months before the claim. We're not liable for indirect damages (lost profits, lost grants, lost data, etc.). Some jurisdictions don't allow these limits; in that case the limits apply only to the extent permitted.
Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Venue and jurisdiction for disputes are pending counsel review and the Atlas filing.
Changes to these terms
We may update these terms. Material changes get at least 30 days' notice by email. Continued use after the effective date means you accept the changes.
